Confidentiality Agreement (One‑Way NDA)
Disclosing Party: you, the person sharing an idea, plan, or design.
Receiving Party: Epic App Solutions ("EAS").
1. Purpose
You are sharing information about a potential project, product, or business idea ("Confidential Information") with EAS solely to let us evaluate whether we want to work together. This Agreement protects that information.
2. What Counts as Confidential Information
Anything you disclose to EAS — written, verbal, or shown — relating to your idea, product, business plans, technical designs, code, or strategy, whether or not it's marked "confidential."
3. Our Obligations
EAS agrees to keep your Confidential Information private and not disclose it to anyone outside EAS without your written permission; to use it only to evaluate and discuss a potential project with you, never to build a competing product ourselves; and to protect it with at least the same care we use for our own confidential information.
4. What's NOT Covered
This Agreement doesn't apply to information that was already public before you shared it (or becomes public later through no fault of ours); that EAS already knew before you shared it, documented; that we develop independently, without reference to what you shared; or that we're legally required to disclose — and if that happens, we'll tell you first if we're legally allowed to.
5. No Ownership Transfer
Sharing your idea with us doesn't give EAS any ownership, license, or rights to it. It stays 100% yours.
6. No Obligation to Proceed
Signing this doesn't obligate either of us to enter into a business relationship. Either party can walk away at any time.
7. Term
This confidentiality obligation lasts for the term selected at signing — anywhere from 30 days up to 7 years from the Effective Date, even if we decide not to work together. Default is 5 years if no term is specified.
8. Governing Law
This Agreement is governed by the laws of the state specified at signing.
